The listed company PLAZZA AG is acquiring all shares in A. Schönbächler & Co AG, based in Affoltern am Albis, with retroactive effect as of January 1, 2025. Through this transaction, the buyer expands its real estate portfolio in the Canton of Zurich and unlocks additional development potential. The shareholders, in turn, ensure the succession planning of the long-established A. Schönbächler & Co AG.
The transaction, structured as a share deal, marks the conclusion of a two-stage bidding process and comprises a centrally located site measuring 14,500 m², consisting of 48 existing apartments and a development plot with a legally approved construction project for a further 92 apartments.
Bratschi acted as legal advisor to SOLVER Advisory AG and to the sellers. The University Hospital Basel will take over the Claraspital Basel and the other companies of the Clara Group. Thereby, one of the three largest university hospitals in Switzerland will be formed.
The Swiss Competition Commission (COMCO) has examined the takeover and has decided not to initiate main proceedings. This means that the Claraspital can be integrated into the Group of the University Hospital Basel. The planned Comprehensive Cancer Center, where oncological services will be bundled at the site of the Claraspital, will provide Northwestern Switzerland with cutting-edge care in the field of cancer.
Bratschi advised and represented the University Hospital Basel in the merger proceedings before the COMCO. The Bratschi team was led by Prof Dr Rolf H. Weber (Competition) and encompassed Dr Samuel Jost and Dr Claudia Walz (both Competition).

Bratschi AG advised Zürcher Kantonalbank, acting as mandated lead arranger and agent, on a CHF 220 million syndicated, mortgage-backed revolving credit facility granted to Urban Assets Zug AG. The facility supports the financing of real estate development projects on «Tech Cluster Zug», a former industrial site located in northern Zug.
Urban Assets Zug AG is held by Metall Zug AG, a Swiss holding company with a diversified portfolio comprising three directly controlled business units and strategic investments in Swiss small-cap industrial companies. Headquartered in Zug, Switzerland, Metall Zug employs around 1,000 people worldwide.
