SOLVER Advisory AG and Bratschi advise the Shareholders of A. Schönbächler & Co AG on the Sale of all Shares to PLAZZA AG

The listed company PLAZZA AG is acquiring all shares in A. Schönbächler & Co AG, based in Affoltern am Albis, with retroactive effect as of January 1, 2025. Through this transaction, the buyer expands its real estate portfolio in the Canton of Zurich and unlocks additional development potential. The shareholders, in turn, ensure the succession planning of the long-established A. Schönbächler & Co AG.
The transaction, structured as a share deal, marks the conclusion of a two-stage bidding process and comprises a centrally located site measuring 14,500 m², consisting of 48 existing apartments and a development plot with a legally approved construction project for a further 92 apartments.
Bratschi acted as legal advisor to SOLVER Advisory AG and to the sellers. The Bratschi team was led by Etienne Gard (M&A) and also included Stephanie Caprani-Pontes (M&A), Damiano Gargiulo (M&A, real estate law), Markus Aeschbacher (real estate law), Kathrin Lanz (real estate law), Kerem Altay (tax) and Sven Zuber.

With this acquisition, Circet is expanding its range of services in the field of telecommunications infrastructure in Switzerland. At the same time, it opens up access to adjacent markets such as smart infrastructure, the digitalisation of utility networks, smart metering and railway telecommunications. Founded in 2009 and headquartered in Zurich, Technik Partner AG today is supported by more than 120 professionals across Switzerland through a combination of direct employees and dedicated subcontractor teams and connects more residential units to the fibre-optic network across Switzerland than any other provider.
Bratschi advised Circet on all legal and tax aspects of the transaction.
