Bratschi advised UBS Switzerland AG on Syndicated Financing for SwissTech Watch Components Group

Bratschi AG advised UBS Switzerland AG, acting as mandated lead arranger, agent and security agent, in connection with a syndicated financing for SwissTech Watch Components SA (STWC), a leading Swiss industrial group specialising in the design and manufacture of high-precision components for the luxury watchmaking industry.
The financing supports STWC's acquisition of Rouages SA, a renowned Swiss company founded in 1918 in Ballaigues (VD). Rouages is recognised for its expertise in the manufacture of precision components for mechanical watch movements, including wheels, pinions and other moving components for use in the most demanding mechanical watch movements.
Following the acquisition, STWC's industrial portfolio now comprises Boucledor SA, Elfix Production SA, and Rouages SA. The group operates six production sites and employs more than 400 people. It brings together complementary expertise in precision micro-mechanics, watch case manufacturing and the production of strategic components for mechanical watch movements.

With this acquisition, Circet is expanding its range of services in the field of telecommunications infrastructure in Switzerland. At the same time, it opens up access to adjacent markets such as smart infrastructure, the digitalisation of utility networks, smart metering and railway telecommunications. Founded in 2009 and headquartered in Zurich, Technik Partner AG today is supported by more than 120 professionals across Switzerland through a combination of direct employees and dedicated subcontractor teams and connects more residential units to the fibre-optic network across Switzerland than any other provider.
Bratschi advised Circet on all legal and tax aspects of the transaction. The team was led by Etienne Gard (Partner, M&A) and also included Damiano Gargiulo (Associate, M&A), Aline Sohm (Associate, M&A, Contract Law), Stephanie Caprani-Pontes (Associate, M&A, Contract Law), Kerem Altay (Partner, Tax) and Rico Dufner (Associate, Tax).
